Welcome to the USIC web site, PORTALES (hereinafter "PORTALES").
Please read these terms carefully before using or accessing PORTALES, or any material contained on or linked to the website. By accessing and using this website, you signify your acceptance of the terms and conditions, as well as our privacy and data protection policy. USIC reserves the right to change these Terms and Conditions without notice. Please check these Terms and Conditions periodically to review any changes. Your continued use of this site following the posting of any changes to these Terms and Conditions constitutes acceptance of those changes. We encourage you to visit this page each time you visit PORTALES, so that you will be informed of any changes or amendments, as they are binding, and constitute a contract between USIC, a Puerto Rican corporation with headquarters at Calle Tabonuco B-7, T-Mobile Center, Suite 1200, Guaynabo, PR 00968 and you. By accessing PORTALES you also agree that:
- You acknowledge that USIC, its affiliates or licensors, service providers, employees, agents, representatives or officers are specifically exempt from any liability, loss, damage or risk incurred as a result, directly or indirectly, of PORTALES;
- You agree that your use of PORTALES is governed by this Agreement, as amended from time to time;
- You will use the materials contained in PORTALES for professional and informational purposes only, and will be limited to that which pertains to the particular insurance business you have with USIC.
- You certify that you are of legal age and have the legal capacity to enter into a binding contract with USIC.
1. Use of the Website Access to and use of PORTALES is restricted exclusively to insurance producers, registered insurance agencies, and persons with legitimate and authorized interests in the company's specific insurance products, who are authorized by the company to access the website, and who have been assigned valid access credentials. Any use by unauthorized persons is strictly prohibited and may result in legal action.
2. Intellectual Property All PORTALES content, including text, graphics, logos, images and software, is the property of the company or its content providers and is protected by applicable intellectual property laws. No reproduction, distribution, modification or use of this content, in any form whatsoever, is permitted without the express permission of the company.
3. Links to Third Parties PORTALES may contain links to other websites operated by third parties. These links are provided solely for your convenience. We do not control these websites and are not responsible for their content or privacy practices and neither USIC, its affiliates or licensors, service providers, employees, agents, or officers shall be liable for any damage or loss that may result from your access to them. You access these sites at your own risk.
4. Prohibited Uses You agree not to use the PORTALES web site for:
- Engaging in or promoting any illegal or fraudulent activity.
- Transmit or post any material that is defamatory, obscene, offensive, or infringes the rights of others.
- Introduce viruses, Trojan horses, worms, logic bombs or other malicious or technologically harmful material.
- Attempt to gain unauthorized access to our website, the server on which our website is stored or any server, computer or database connected to our website.
- Attack our website via a denial-of-service attack or a distributed denial-of-service attack.
- Use the website in any manner that could damage, disable, overburden, or impair the website or interfere with any other user's use of the website.
- Post or transmit any content that is unlawful, threatening, abusive, harassing, defamatory, libelous, vulgar, obscene, invasive of another's privacy, hateful or racially, ethnically or otherwise objectionable.

5. Responsibilities You are responsible for:
- Complying with the procedure established in the USIC Portal User Registration Mechanism.
- Keeping all of your information up to date at all times. Information required to be kept current at all times includes, but is not limited to:
- User name
- E-mail address
- Access code and password
- User's telephone number
- If you are assigned or choose a user name, password or other information as part of the security measures and conditions for using PORTALES, you must keep such data private and not share it with anyone.
- Acknowledging that your account is for your exclusive and personal use, you agree not to allow others to access the PORTALES site using your credentials or access any other security data that has been assigned to you, or has been chosen by you.
- Notifying immediately if your credentials have been compromised or you have a belief that they have been exposed to a third party.
- Ensuring that all users who have been created under your username, password or IP address are aware of these Terms of Use and comply with them.
- Exercising a higher degree of caution if you choose to access your account from a public or shared computer as you make yourself more susceptible to third parties being able to view or record your security data, such as your user name, password or other personal information.
- Closing your account at the end of each session and to immediately notify us of any loss, unauthorized access, or breach of security by any third party to your account, including your username, password, or any other information assigned to you as part of the security measures.
- Ensuring that all information provided on the website is accurate and up to date.
- Complying with all laws and regulations applicable to the use of the website.
- Not using the website in any way that could damage our reputation or that of our affiliates.

7. Indemnification You agree to indemnify, defend and hold harmless the company, its affiliates, licensors, service providers, employees, agents, representatives, officers, directors, contractors, successors and assigns from any claims, liabilities, damages, losses or expenses, including reasonable attorneys' fees, arising out of or related to your use of PORTALES, your breach of these Terms and Conditions, the services and products offered, any information obtained from our website, or your violation of any rights of any third party.
8. Suspension or Denial of Access We reserve the right to suspend or deny access to the PORTALES site, without prior notice, to any user at USIC's sole discretion, including to who breaches these Terms and Conditions or who engages in activities that we deem harmful to the website or other users. This includes, but is not limited to, activities that are illegal, fraudulent, abusive, or infringe the intellectual property rights of others. Suspension or denial of access does not relieve the user of its responsibilities and obligations under these Terms and Conditions. Without limiting the foregoing, we reserve the right to cooperate fully with any law enforcement authorities or to comply with any court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through our websites. YOU WAIVE AND RELEASE USIC, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, REPRESENTATIVES OR OFFICERS FROM ANY CLAIMS RESULTING FROM ACTIONS TAKEN BY THE COMPANY OR ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF INVESTIGATIONS BY THE COMPANY, SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.
9. Online Transactions Purchases and transactions that are available online through PORTALES, and that are related to the sale of products and/or services, are subject to our Terms and Conditions of Sale of Goods and Services Online, which form part of these Terms of Use. In the event that there are specific sections of this website that contain additional terms and conditions, services or features, they are made a part of these Terms and Conditions by reference.
10. Electronic Communications Pursuant to Rule 110 of the Regulations of the Insurance Code of Puerto Rico (Rules to Regulate Electronic Transactions in the Business of Insurance), the electronic delivery of the policy, notice or other documents shall be considered the default mode of delivery, equivalent to, and in substitution of, the physical delivery of such documents by postal mail or personal delivery to the insured. The electronic delivery of the policy, notice or other documents may be modified if the party expressly elects not to receive such policy, notice or documents in electronic form and requests that such documents be delivered in hard copy form by postal mail or personal delivery, as provided in the above rule.
By indicating your acceptance of these Terms and Conditions, if you continue to use the PORTALES site or if you cause this site to be used by electronic or other means, you agree to comply with the provisions of Rule 110 to the extent and in the manner set forth therein with respect to applicable communications transmitted by the company through you.
11. Exclusion of Warranties USIC aims to provide quality service at all times to its customers. Notwithstanding the foregoing, your use of PORTALES, its content and any services or products obtained through it is at your own risk. Our website, its content and any services or products obtained through our website are provided "AS IS" and "AS AVAILABLE" without warranty of any kind, either express or implied. Neither USIC nor any other person associated with the company warrants or represents as to the completeness, security, reliability, quality, accuracy or availability of the web sites.
Pursuant to this exclusion of warranties, USIC:
- Does not promise that the site or any content, service or feature of the site will be free of errors or interruptions.
- Does not guarantee that any defects will be corrected.
- Does not ensure that your use of the site will provide the specific results you desire.
- All information provided on the site is subject to change without notice.
- USIC cannot ensure that any documents or information you download from the site will be free of viruses, malicious code or destructive features. - The user's sole remedy against USIC related to dissatisfaction with the site or any content is to discontinue using the site or its content.

- This does not affect warranties that cannot be excluded or limited under applicable law.
The release of liability applies to any damages, liability or losses caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract or negligence or any other cause of action, even if foreseeable.
USIC reserves the right to do any of the following, at any time and at its discretion, without notice:
- Modify, suspend or terminate operations of or access to the site, or any portion of the site.
- Modify or change the site, or any portion of the site, and any applicable policies or terms.
- Disrupt site operations, or any portion of the site, as necessary to perform routine and non-routine maintenance, error correction or other changes.
12. Limitation of Liability Except as prohibited by law, USIC shall not be liable for indirect, consequential, exemplary, incidental or punitive damages, including lost profits or revenues, even if USIC has been advised of the possibility of such damage.
13. Applicable Law, Forum and Arbitration This Agreement, and all matters arising out of or relating to it, shall be governed by and construed in accordance with the internal laws of the Commonwealth of Puerto Rico without giving effect to any choice of law or conflict of laws provision or rule. The Parties agree that any legal action or proceeding relating to this Agreement shall be brought and heard exclusively in, and venue shall be proper in, the federal court for the District of Puerto Rico or the courts of the Commonwealth of Puerto Rico, and the Parties voluntarily submit to the jurisdiction of those courts for such purposes. You waive any and all objections to the exercise of jurisdiction over you by such courts and venue in such courts.
Likewise and at USIC's discretion, any dispute associated with these Terms of Use or the use of USIC's web site, PORTALES, may be submitted to final and binding arbitration under the Arbitration Rules of the American Arbitration Association in accordance with the laws of the Commonwealth of Puerto Rico. Such disputes may arise out of the interpretation, violation, invalidity, breach or termination associated with the terms described above or the use of the website.

15. Invalidity If any provision of these Terms and Conditions is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary so that the remaining provisions of the Terms and Conditions remain in full force and effect.
16. Waiver The sole or partial exercise of a right does not preclude the further exercise of that right or the exercise of any other right. The failure or delay by a party's failure to exercise a right does not preclude its exercise or operate as a waiver. A waiver is only effective in the specific instance and for the specific purpose for which it is granted.
16. Entire Agreement These Terms and Conditions, the Privacy Policy, the USIC Portal User Registration Mechanism and any other document that is incorporated herein by reference constitute the sole agreement between the parties with respect to the use of USIC’s web site, PORTALES.
